By accessing or using Broker Toolbox ("the Service") at brokertoolbox.net, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Broker Toolbox provides a suite of compliance tools, form libraries, and resources designed for life and health insurance professionals. Our tools include PlanForm 125, COBRA Shield Pro, and the Broker Library. Access to certain features requires a paid subscription.

3. Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Subscriptions and Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your selected subscription plan
• Authorize us to charge your payment method on a recurring basis
• Subscriptions renew automatically unless cancelled before the renewal date
• All fees are in U.S. dollars and are non-refundable except as required by law

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit any harmful, offensive, or disruptive content
• Attempt to gain unauthorized access to any part of the Service
• Resell, redistribute, or sublicense access to the Service without our written consent
• Use automated tools to scrape, crawl, or extract data from the Service

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Broker Toolbox. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. Forms and documents provided through the Service are licensed for your professional use and may not be resold or redistributed.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. Broker Toolbox does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. The forms and tools provided are for informational purposes and do not constitute legal, tax, or compliance advice. You should consult qualified professionals for advice specific to your situation.

8. Limitation of Liability

To the maximum extent permitted by law, Broker Toolbox shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Broker Toolbox and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Service or violation of these Terms.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease.

11. Google API Services — Limited Use Disclosure

Broker Toolbox uses the Google Calendar API to enable two-way calendar synchronization for users who choose to connect their Google account. Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Limited Use Compliance Statement: The use of raw or derived user data received from Workspace APIs will adhere to the Google User Data Policy, including the Limited Use requirements.

Specifically, Google Calendar data (including event titles, times, locations, and attendees) is:

• Used solely to display, create, edit, and delete calendar events within your Broker Toolbox account
• Never transmitted to OpenAI, Anthropic, or any other AI or machine learning service
• Never used to train, improve, or inform any AI or ML model
• Never sold, shared, or transferred to third parties for advertising or any purpose unrelated to providing the calendar sync feature
• Stored only as necessary to maintain your calendar connections and event mappings

Our AI features (commission statement parsing, ERISA document generation, and renewal document analysis) operate exclusively on broker-uploaded documents and are completely isolated from any Google user data.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Pima County, Arizona.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
